Terms of Use

Last updated: September 2026

These Terms and Conditions (“Terms”) govern your use of the website www.thehseexchange.com (the “Site”) and the purchase and use of any course, material or service offered through it. The Site is operated by xHSE Enterprises (BN 9205467), a business registered in Nigeria (“The HSE Exchange”, “we”, “us”). By creating an account, purchasing a course or otherwise using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Definitions

  • “Course” means any training programme, lesson, video, quiz, download or other learning content made available through the Site.
  • “Student” or “you” means the individual who registers an account or is enrolled on a Course.
  • “Corporate Customer” means an organisation that purchases Course access on behalf of its employees or contractors.
  • “Certificate” means a certificate of completion issued by The HSE Exchange on successful completion of a Course.

2. Eligibility and accounts

You must be at least 18 years old to create an account or purchase a Course. You agree to provide accurate registration details and to keep them up to date. Your account is personal to you. You are responsible for keeping your password confidential and for everything that happens under your account. Tell us immediately at Support@thehseexchange.com if you believe your account has been accessed without your permission.

3. Purchasing a Course

Prices are shown in Nigerian Naira and include any applicable taxes unless stated otherwise. Payment is taken at the time of purchase through our third-party payment provider. Your enrolment is confirmed when payment has cleared, and you receive a confirmation email. We may correct pricing errors on the Site and, where an error is obvious and you could reasonably have been expected to recognise it, we may cancel the purchase and refund you in full.

Promotional prices and discount codes are valid only for the period and conditions stated. We may withdraw a promotion at any time before purchase.

4. Access to Courses

On confirmation of payment you receive a personal, non-exclusive, non-transferable licence to access the Course for your own professional development. Unless a Course page states a fixed access period, access remains available for the commercial life of the Course while The HSE Exchange continues to operate it on the Site. Any reference to “lifetime access” means the commercial life of the Course, not the lifetime of the Student. We may update or restructure Course content. If we plan to retire a Course, we will give at least 30 days’ notice where reasonably practicable and allow you to download any materials expressly provided for download. If material paid access becomes unavailable substantially earlier than reasonably expected, the remedies in our Refund Policy will apply.

Courses are delivered online. You are responsible for the device, browser and internet connection needed to access them. Minimum requirements are a current version of Chrome, Safari, Edge or Firefox and a connection capable of streaming video.

5. Acceptable use

You agree that you will not:

  • Share your login details or allow anyone else to use your account;
  • Download, record, screenshot, copy, reproduce, distribute, sell, sub-license or publicly display any Course content, except where a download is expressly provided for that purpose;
  • Remove or alter any copyright notice, watermark or attribution;
  • Use Course materials to create competing training products or services;
  • Attempt to bypass any access control, or to interfere with the operation or security of the Site;
  • Submit false information, impersonate any person, or use the Site for any unlawful purpose; or
  • Post content in any discussion or Q&A area that is abusive, defamatory, discriminatory or infringes another person’s rights.

We may suspend or terminate your access without refund if you breach this section, and we reserve the right to take legal action for unauthorised distribution of our content.

6. Intellectual property

All Course content, including videos, slides, text, quizzes, case studies, templates, the Site design and the names “The HSE Exchange” and all related assets, is owned by or licensed to The HSE Exchange and is protected by Nigerian and international copyright and trademark law. Nothing in these Terms transfers any ownership to you. Templates and tools provided as downloads may be used within your own organisation for its internal purposes but may not be redistributed or sold.

7. Assessments and Certificates

Where a Course includes quizzes, assignments or a capstone assessment, the pass mark, number of attempts and any time limits are stated in the Course. A Certificate is issued only when all required elements have been completed and passed. Certificates confirm completion of training; they are not a professional licence, an accreditation by any regulator or professional body, or a warranty of competence in the workplace.

Each Certificate carries a unique number that can be checked on our verification page. We may withdraw a Certificate if we find that it was obtained by cheating, impersonation, plagiarism or other misconduct, and we may inform an employer or third party who relies on it.

8. Professional disclaimer

Our Courses provide general training in health, safety and environmental practice. They are not a substitute for site-specific risk assessment, professional advice, or the legal and regulatory obligations that apply to your organisation. You remain responsible for how you apply what you learn. The HSE Exchange does not guarantee any particular outcome, including regulatory compliance, incident prevention, audit results or career advancement.

9. Corporate Customers

A Corporate Customer that purchases seats for its personnel is responsible for ensuring that each learner accepts these Terms, for allocating seats accurately, and for payment of the agreed fees whether or not every seat is used. Any written proposal, quotation or agreement signed with a Corporate Customer takes precedence over these Terms to the extent of any conflict.

10. Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms.

11. Privacy

We handle your personal data in accordance with our Privacy Policy, which forms part of these Terms.

12. Third-party services

The Site uses third-party services including payment processing, video hosting and email delivery. Those services have their own terms, and we are not responsible for their availability or conduct. Links to external websites are provided for convenience and do not imply endorsement.

13. Availability

We aim to keep the Site available at all times but do not guarantee uninterrupted access. We may suspend the Site for maintenance, updates or reasons outside our control, and will try to give notice where practicable.

14. Limitation of liability

To the fullest extent permitted by law, The HSE Exchange, its owner, staff and contractors will not be liable for any indirect, consequential or special loss, loss of profit, loss of business or loss of data arising from your use of the Site or any Course. Our total liability to you for any claim arising from a Course purchase is limited to the amount you paid for that Course. Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded under Nigerian law.

15. Termination

You may close your account at any time by contacting us. We may suspend or close your account if you breach these Terms, if required by law, or if we discontinue the Site, in which case we will refund any unused portion of a Course you have paid for unless the closure results from your breach.

16. Changes to these Terms

We may update these Terms from time to time. The updated version takes effect when posted on the Site. Your continued use of the Site after that date constitutes acceptance. Material changes will be notified by email to registered Students.

17. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. We encourage you to contact us first to resolve any complaint, and we will respond within 5 working days. Any dispute that cannot be resolved amicably shall be submitted to the courts of Lagos State, Nigeria, without prejudice to your right to bring a complaint before the Federal Competition and Consumer Protection Commission.
